INSTRUCTIONS
1. ASSIGNMENT 2 relates to the case study below:
FLEXSHYFT: TERM SHEET NEGOTIATION (A)1
Additional information is available on Canvas. The assignment is worth a
maximum of 20 marks.
2. TEAM SIZE: You MUST work individually or in a team of 2 students. You must
join a team (1 or 2 students) on Canvas.
3. VIDEO PRESENTATION LENGTH LIMIT: 8 minutes +/- 20 seconds (this is a
strict time range limit). Keep your presentation concise. Your video presentation
MUST be within this range.
4. VIDEO FORMATS AND FILE SIZE: Record pitch using one of the following
video formats: MP4 or MOV. Adjust your settings so that the file size is under 200
MB. You can adjust your file size by reducing your bitrate to 1 to 3 Mbps.
5. VIDEO PRESENTATION STYLE: All individuals and teams MUST present in
person. You may use Zoom or Teams to create your recording. Wear something
smart casual or professional just like you would when presenting to a venture
capitalist. Use presentation slides, tables, figures, or animations to support
your presentation. Make sure that you fix your video recorder (digital
camera, smart phone, tablet, notebook) so that the video recording is stable.
6. VIRUS CHECK: Check your video file for viruses before you submit it.
7. PLAGIARISM DECLARATION: By submitting your work you declare that you
have read and understood the plagiarism declaration statement under the
ASSIGNMENT tab on Canvas, and that it is your own work and does not involve

plagiarism or collusion.2 Note, if you work in a team, this applies to all team
members. The use of third-party materials needs to be referenced at the end of your
recording. This includes the possible use of LLMs.
8. SUBMISSION RESPONSIBILITY: You or your team leader are responsible for
the submission. Make sure that you register your team on Canvas before you submit
your assignment. Team and individual registrations are available under the
PEOPLE tab on Canvas.
9. FILE NAME: Save the video presentation file using your student ID(s), e.g., with
student IDs 12345 and 99999 as 12345_99999.mp4 or 12345_99999.mov. Save the
plagiarism form using your student ID(s); e.g., with student IDs 12345, 46298 and
99999 as 12345_46298_99999.mp4 or 12345_46298_99999.mov. Do NOT include
your name(s) in the file name. Incorrect file names are penalized by 0.5 marks.
10. SUBMISSION: Submit your video presentation via Canvas.
11. LATE SUBMISSIONS: Penalty of 2 marks per 24 hours. The penalty is applied
proportionally.
12. You MUST NOT use any case study notes or case study solutions service.
Assignment
Read the case “FLEXSHYFT”. Assume that it is March 2, 2020. Assume further that
you are Olivia Manavon, cofounder and CEO of the labor marketplace FlexShyft, and
Jordan Maines, cofounder and Chief Technology Officer of the venture. Today, you
received a term sheet from Theresa Green, general partner at Storm Point Ventures.
You must decide what to do with the term sheet offer before March 6, 2020.
Use the information given in the case, highlight the key issue(s), analyze your options
as cofounders, evaluate these, and make a clear recommendation on what you should
do.
Note, you must not use any information post March 6, 2020.

Video Presentation Criteria (out of 20 marks)

of options, analyses of options, decision(s); use of tools and concepts learnt in

your dream job, how would you prepare for the interview and present yourself?)

A Guide to Doing Case Studies
I use cases as aids for developing business acumen, as they confront you with business
situations that require decisions. Often, these decisions must be made without full
information. This is a fact of life in the “real world” as well.
You get what you put into a case. If you do a superficial reading of the case, don’t be
surprised if you get little out of it. However, many students around the world have
found that when they put a significant effort into understanding the point of the case,
they are amply rewarded by the knowledge they gain. However, making effective use
of cases is a learned skill. Therefore, I have prepared the following points to assist your
study of the case we do this semester.
1. Read the case carefully.
a. There are a lot of facts in the case.
b. Discern which facts a relevant and which are not.
c. This may take more than one reading and it will certainly take some
thought.
2. Identify the opportunities or challenges facing the parties in the case.
3. Isolate the business decisions needed by the parties in the case.
4. Argue for a course of action on each decision.
a. Prepare all the documentation and analysis necessary to support your
courses of action.
b. You probably do not have enough information in the case write-up to
complete some analyses.
c. Do the best you can with the information you have.
d. Note what the information or collateral studies you would do to further
clarify your decisions.

6. If called upon you should be prepared to articulate any or all facets of the case
and to lead a discussion on them. (Note, this only applies when we discuss a
case in class).
