Assignment question
ABC Entertainment Ltd (ABC) is an ASX listed public company that operates casinos in
Australia. In 2022, there was a public inquiry into the conduct of ABC that found that it had
contravened the anti-money laundering laws (AML) on many thousands of occasions. The
public inquiry heard evidence that ABC had under-invested in the systems necessary to
achieve AML compliance compared with its global peers. The directors of ABC told the
inquiry that a shareholder, Mr Wall, who owns 55% of ABC’s issued shares instructed them
to make ABC spend less on compliance in order to boost dividends.
Please answer the following three questions.
• Is the board of ABC required to do what Mr Wall says? Why or why not? (400 words)
• Is Mr Wall a ‘shadow director’ of ABC? Why or why not? (350 words)
• Have the directors of ABC breached any of their directors’ duties in Part 2D.1 of the
Corporations Act 2001 (Cth)? (750 words)

Corporate Law 7th ed. You will also need to undertake further research (including on the ASIC
website and by looking at the Corporations Act 2001 (Cth) and relevant cases) to answer the
question.
